CROSS-BORDER BUSINESS

Investing overseas funds in a China project: what should be considered from entry to exit?

Investment structure, project procedures, use of funds and exit arrangements need to be considered together.

For an overseas investor participating in a mainland China project, bringing funds into the country is only one part of the process. Investors also need to understand sector access, project procedures, use of funds, distribution of returns and exit, and ensure agreements correspond to the actual business.

Identify the investment sector and project requirements

First identify the sector, investment method and proposed ownership structure, then check the applicable foreign-investment negative list and industry rules. Being outside the negative list does not mean there are no other requirements: market access, sector licences, project approval or filing and other procedures may still apply, depending on the location and type of project.

Identify the nature of the funds

A structure may involve an equity contribution, a combination of equity and shareholder loans, or another financing arrangement. Equity investment calls for attention to shareholder rights, capital-contribution obligations, governance and exit. For borrowing from abroad, assess the borrower, use of funds and applicable rules, including foreign-debt registration, cross-border financing and foreign-exchange requirements. Whether a structure is available depends on the facts and the rules in force.

Connect funding arrangements with project documents

The use of funds, project progress, contracts, resolutions and supporting payment records should be consistent. In handling accounts, the use of funds and cross-border receipts and payments, a bank may request supporting materials depending on the transaction and applicable rules. Confirm the specific documents and process with the handling institution.

Plan for returns and exit early

Investment agreements and corporate governance documents should address the parties’ commercial objectives, voting rights, board seats, profit distribution, repayment of debt, equity transfers, remedies for breach and dispute resolution. Cross-border payment of dividends, repayments or exit proceeds also depends on the tax, foreign-exchange and other rules applicable at the time.

This is general information, not legal, tax or investment advice for a particular project. Requirements can differ by location, industry, parties and investment structure.
